FFmpeg as SPI associated project

<pre>Hi all. FFmpeg has applied to become an SPI Associated project. Comments
and questions are welcome.

I support and am sponsoring this application because:

* FFmpeg is a genuine Free Software community project:

FFmpeg is released under the GPL or LGPL licenses depending on
the choice of configuration options.

* FFmpeg has an established development community and history of software
releases.

The initial release of FFmpeg was in December 2000 and the project
continues to be actively developed.

* FFmpeg is used by a broad audience:

FFmpeg is widely used on Linux, Microsoft Windows and many other operating
systems both as a standalone tool and as part of other applications.

The resolution below is proposed to be submitted to the June 14 board
meeting:

SPI resolution 2012-05-25.rtb.1

WHEREAS

1. FFmpeg is a substantial and significant Free Software project.

2. The FFmpeg developers would like SPI's support and assistance,
including taking Donations, Holding Funds and legal assistance.

D&O Insurance

<pre>Hi all. SPI is investigating options for Directors and Officers
insurance.

I'm interested in any recommendations for insurance companies, brokers or
other organisaations who offer D&amp;O insurance packages suitable for US
not-for-profit corporations. Please feel free to provide recommendations
in reply to this email or via private email if you prefer.

Here are a couple of recommendations I have already:

Nonprofit Coordinating Committee of New York
http://www.npccny.org/info/oi2.htm
Using NPCC's insurance requires being a member of the organisation.
Membership would cost no more than $250 and seems to provide affordable
D&amp;O insurance for members.

The Weiner Company
http://www.weinerco.com/
A similar FOSS foundation went through this company and were apparently
happy with the result.

I will be getting pricing for D&amp;O insurance and presenting it for
discussion.

Cheers,

Rob

<pre>Hi all. There was a discussion recently on #SPI about using a tracking
system to help SPI keep track of tasks.

The general concensus during the discussion was that Request Tracker (RT)
was the preferred option as several of the people present (mostly board
members) have quite a bit of experience with RT.

I'd certainly like us to go forward with this as soon as possible.

As well as assisting with tracking tasks it could help us set &amp; monitor
SLAs.

Jonathan, please put "Discussion of tracking system" on the agenda for the
April 12/13 board meeting. This will be a good opportunity to get the
board talking about it. I'd hope we get a general concensus and decision
to implement.

Cheers,

Rob

<pre>Hi there

I am the liason of the YafaRay project. In the past we asked the board whether we could sell training and educative material under the umbrella of SPI, since donations does not work that great for us. In light of the advice you got from your legal advisors about performing such activities, and given the fact that we are on track about finishing such educative stuff, we would like to ask the board again whether such activities could be launched under SPI protection, and what should be the desired framework.

We are going to finish a book into spanish in PDF format (10 MG) and a training DVD-ISO file with scenes and texts in PDF format (3 GB). We are not going to sell physical items, just digital books and DVD-ISO files. Every item will be released under a creative commons license, following Blender Foundation model.

We look forward to the board answer on these regards. Greetings.

<pre>As per 2009-11-04.jmd.1 (Contributing membership expiry) I'm preparing
to send out an initial ping to all contributing members who did not vote
in the last board election. That covers 378 individuals. In an ideal
world we'd have the SPI members app provide an "I'm still active" button
as a response, but for this first pass I think it's going to be easier
to script a bunch of mails and then process responses manually.

How about the following as the ping mail:

-----
Subject: SPI contributing membership ping

SPI membership ref: [n]

Hi.

As per SPI resolution 2009-11-04.jmd.1 (Contributing membership
expiry)[0] we are in the process of cleaning up the SPI active membership
list. Our records indicate that you did not vote in the SPI Board
Election held in July 2011. We use board election turnout as an
indicator of SPI activit. As a result if we do not hear otherwise from
you within 4 weeks of this mail being sent we will deem you inactive and
downgrade your SPI membership to non-contributing status.

Forms 990 and 1023 for SPI

<pre>I've been reading the 2010 form 990 for SPI (from guidestar) and
noticed that you claim that your forms (990, 1023, etc) are available
on the SPI web site. Unfortunately, as far as I can tell, they
aren't. Could you consider creating a page under
http://spi-inc.org/corporate/ with those forms?

While searching on the SPI web site, I found an IRC log from 2008
indicating that someone requested the 1023 and that Michael
Schultheiss was going to request a copy from the IRS.

I also found one 990 on the old SPI page [1] but I couldn't find
all. It would be great if you could create one central location on
the new web site with these forms. Thanks a lot.

Agenda item for February SPI board meeting

<pre>Jonathan, please add the item "Discussion of back office support" to the
February meeting agenda. I believe this should fall within general
business but don't mind if you put it in another category.

My intention here is for the board to discuss this topic, not to make any
firm decisions during this board meeting.

There is no need to post any of the material below in to the meeting
announcement.

CC:ed to spi-general so the community can discuss.

There have been informal discussions within SPI for a while about
acquiring assistance for the day to day operations of SPI to improve
service delivery to projects. This is especially important considering
that the number of associated projects has been increasing recently and
all indications are that this is going to continue.

Two possible approaches to obtaining back office support are discussed
here. This discussion does not exclude the possibility that other options
exist.

(1) Using a back office company

Proposed website changes

<pre>Hi all. I find it slightly annoying that the index page requires the
person to click 'Read more' to see much information.

I propose merging the 'About' page in to the Index (Home) page and having
it readable without having to click 'Read more'.

Normally I wouldn't bother posting about changes to the website but this
is fairly significant and involves the index so be sure to hollar if you
disagree.

I also plan to add a 'History' page.

Cheers,

Rob

<pre>Following discussions with legal counsel and the contributing members over
the last couple of months the board agreed today to alter the criteria for
board list membership.

The board list is now comprised of board members only. Legal counsel and
project liaisons will be CC:ed on board list discussions as required.

As a result of this change more discussion will shift to spi-general and
spi-private.

Thanks,

associated projects selling training material

<pre>Hi there

I'm the liason of the YafaRay project. Our project is rather small although we have a relatively broad user base.
We are doing about 7.000 downloads a month.

However, the fact is that donations does not work for us. it is more dificult for desktop software to get support from the big guys.

This is not a big issue for a project with small needs, but our project faces now critical times and we would like to organise a first "code sprint" to get together and strengthen
our bonds.

Selling training material would be an option for us. We are not sure whether is going to work but at least we would like to try.

We would like to ask whether we can still use SPI protection for the money raised by those sales and how to accommodate a checkout process
from an e-shop within the current "click &amp; pledge" framework. I don't believe it can be done.

For instance, can we use Amazon Payments or Paypal under our responsabily but draw funds from those and get them directly to our SPI account?

Thank you for your </pre>
