    <title>Preparation for potentially separating Foundation officers andtrustees</title>

    <description>The Foundation bylaws require that we have at least four officers
(president, vice president, secretary, and treasurer).  They allow us to
have a chairman, vice chairman, and other vice presidents as needed.
(Bylaws, Article VI).  All officers are selected by the Board.

Two of these officers have very specific duties:  The chairman presides
at board meetings, and the vice chairman presides if the chairman is
absent.  If we do not have these two officers appointed, then their
roles fall to the president and the vice president.

However, the primary duties of the president and vice president are more
traditional:  President is the Foundation's CEO and vice president acts
in the president's absence.  And as we have seen in our efforts to set
up a bank account, some banks are interested in personal information
about these two officers.  In at least one case, we were slowed down
because Roy happens to live in Scotland and he is the president.

I'm wondering if it is possible for the Gentoo community to set up an
European alternative to CafePress, since their shipment fees to europe is

perhaps there are even more of them? I hope it is an alternative, as long
as it does not create any cost overhead for the Gentoo
foundation/community.

I just think it's too bad that my Gentoo mug cost twice the amount in
Sweden than it would in USA =)

I cannot understand why a person cannot be on the Council and on the
Trustees? We had someone do so in the past and no conflicts or issues arose.
What is the reasoning that a person cannot serve on the technical team and
the legal team? 

Please note: that I do not see validity in the statement 'what if Council
asks for money and dual role person on the Trustee approves it' as I think
that person would hold the same opinion regardless of being on both teams
unless we are saying that we cannot trust our Council people to not make
decisions in the best interest of Gentoo.

the replays to my previous message where sent, I was not subscribed to

Back to the issue, taking into account the corrections that Ferris
McCormick kindly added and the positivism I sensed in his response, I
talked with Bdale Garbee regarding us, Gentoo Fundation, joining the
SPI and discussed the previous e-mail I sent as well as fmccor's replay.

Basically the response I got was a confirmation on everything Luk Glass
has told me before (my first e-mail), and he went a little bit more in
detail regarding the legal services they can provide:

bdale: there is a lawyer in a firm in New York who provides pro-bono
services to SPI, the most recent thing his firm did was to give us an
opinion on the licensing of thumbnails of game screen snapshots
bdale: we have a relationship with the SFLC and can help get their
attention on project issues in the past, when we have had legal issues
in other countries, including Spain and Braz</description>

    <description>Over the past several weeks, and possible months. The Gentoo Foundation
board of trustees has been discussing a bit on IRC and in direct private
emails, the available banking options for Gentoo. Starting with the more
major institutions like Chase, Citi, Bank of America, and Wells Fargo. 

The first issue we ran into was that no one lives in New Mexico. Some
banks require a branch be within 50 miles from registered address.
Others any address in the same state. Neither of which was a major road
block. Until both required that we physically go into a branch to sign
papers and open an account. Being that no Officer lives in New Mexico.
That is not a practical option. Which ruled out both Chase and Citi.
Chase required 50 miles, Citi within the state.

Now Bank of America seemed to be a viable options with their online
application. But a call to Bank of America reveals a few things. First
that the application process could not be fully completed online. Second

Only article 5 remains for individual scrutiny.

The bylaws are not on this months agenda but some discussion can be
fitted in under Any Other Business.

I've updated http://xrl.us/iqzyg in line with our discussions on Sunday 
29 June. Its not quite in the words we agreed, mostly to preserve the 
old structure but the intent of the agreement remains. (I think) 

We still have Article 5 to review.

    <title>Spending money authority</title>

    <description>When I was thinking again about Gentoo's structure. The relationship of
the Foundation and the Council. I thought of an odd scenario. The
council rules the project, period. No contesting that and I am not
looking to change that.

That said, the Council decides to take some action within Gentoo. That
decision and action requires funding. Now who's hands does the power lie
in? At that point the Trustees, and if they choose not to fund the
request. Then what? Council is denied their supreme authority. Hardly
ideal, and I believe goes against the purpose of the council.

Case in point. Last year for the Florida Linux Show, I had to ask and
get Trustees approval to fund a booth at the show for Gentoo[1]. To me
that seems like a decision that should fall to the Council not the
Foundation.

The only time the Foundation should deny a funding request/order from
the council is if there is not adequate funds available. But it should
not be up to a second body what areas get funded and don't.
